Terms of Use

These Terms of Use (“Terms”) govern your access to and use of control-fi.com and any related pages, content, forms, booking links, downloadable materials, and website features that link to these Terms (collectively, the “Site”).

The Site is operated by ControlFi LLC (“ControlFi,” “we,” “us,” or “our”), a Miami, Florida-based business providing investor-grade financial modelling, cash flow forecasting, lender-ready reporting, and decision-support services.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Scope of These Terms

These Terms apply only to your use of the Site and related pre-engagement communications.

These Terms do not govern any paid client engagement unless expressly incorporated into a separate written engagement letter, proposal, statement of work, or services agreement signed by ControlFi and the client. If there is any conflict between these Terms and a signed client agreement, the signed client agreement will control.

2. Important Professional Disclosures

No investment, legal, tax, audit, or accounting advice

The Site and its contents are provided for general informational and marketing purposes only. Nothing on the Site constitutes or should be construed as:

• legal advice;
• tax advice;
• audit or assurance services;
• public accounting services;
• investment advice;
• securities advice;
• brokerage, dealer, placement, or capital-raising services;
• loan-broker services;
• or any other regulated professional advice.

Any models, forecasts, scenarios, cash flow views, lender-readiness materials, valuation illustrations, or examples shown on the Site are illustrative only and do not constitute recommendations, guarantees, or assurances of outcome.

No client relationship

Your use of the Site, submission of a form, booking of a call, or exchange of emails with us does not create a client, fiduciary, advisory, accounting, auditor-client, attorney-client, or other professional relationship. A client relationship is formed only through a separate written agreement signed by both parties.

No reliance

You should not rely on the Site or its contents as a substitute for professional advice tailored to your specific business, jurisdiction, financing structure, tax position, or legal/regulatory circumstances.

No confidential information through the Site

Do not send confidential, highly sensitive, or regulated information through the Site or unsecured email unless we have expressly requested it and an appropriate agreement is already in place.

3. Eligibility and Authority

By using the Site, you represent and warrant that:

1. you are at least 18 years old;
2. you have the legal capacity to agree to these Terms;
3. if you are acting on behalf of a company or other entity, you have authority to bind that entity;
4. you will use the Site only for lawful business purposes; and
5. your use of the Site will comply with all applicable laws and regulations.

4. International Use

ControlFi is based in Miami, Florida, USA, but the Site may be accessed from other jurisdictions. You are responsible for ensuring that your access to and use of the Site is lawful in your jurisdiction.

We may decline to provide access, respond to enquiries, or offer services in any jurisdiction where doing so would create registration, licensing, sanctions, export-control, consumer-law, or other legal or regulatory exposure for us.

5. Permitted Use

Subject to these Terms, ControlFi grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your own internal business evaluation purposes.

6. Prohibited Conduct

You may not:

• use the Site for any unlawful, fraudulent, deceptive, or abusive purpose;
• scrape, crawl, spider, harvest, or systematically extract Site content or data without our prior written consent;
• interfere with or disrupt the Site, its servers, or security features;
• upload malware, malicious code, or harmful materials;
• impersonate another person or entity;
• misrepresent your identity, affiliation, or authority;
• use the Site to build a competing product or service;
• use automated means to submit forms, schedule meetings, or send messages through the Site without our prior written consent;
• submit information you are not authorized to share.

7. Forms, Enquiries, and Communications

If you submit a form, request information, or otherwise contact us through the Site, you agree that:

• the information you provide will be accurate and not misleading;
• you will not provide information you are not authorized to disclose;
• we may use your submission to respond to your enquiry, assess a potential fit, and communicate with you regarding our services, subject to our Privacy Policy.

If you provide comments, suggestions, or feedback regarding the Site or our services (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that Feedback without compensation to you. This does not apply to client-specific materials governed by a separate signed agreement.

8. Intellectual Property

The Site and all content on it, including text, graphics, branding, logos, layout, downloads, and related materials (collectively, the “Content”), are owned by or licensed to ControlFi and are protected by intellectual property laws.

Except as expressly permitted in these Terms, you may not copy, reproduce, modify, republish, distribute, publicly display, create derivative works from, sell, license, or otherwise exploit the Site or any Content without our prior written consent.

Nothing in these Terms transfers any ownership rights to you.

Any ownership or license rights in client-specific work product, models, presentations, or deliverables will be governed solely by the applicable signed client agreement.

9. Third-Party Services and Links

The Site may contain links to third-party websites or use third-party tools and providers to support forms, scheduling, analytics, CRM, communications, hosting, and other business operations. These may include providers such as HubSpot and other infrastructure, analytics, scheduling, communications, and cloud-service vendors.

We do not control and are not responsible for third-party websites, tools, content, availability, or policies. Your use of third-party services is governed by the applicable third-party terms and privacy policies.

10. Site Availability and Changes

We may modify, suspend, or discontinue any part of the Site at any time without notice.

We do not guarantee that the Site will always be available, uninterrupted, secure, or error-free. You are responsible for implementing appropriate safeguards on your own systems and devices.

11. Privacy

Your use of the Site is also subject to our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Site and all Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

Without limiting the foregoing, we disclaim all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, and any warranties arising from course of dealing or usage of trade.

We do not warrant that:

• the Site or its Content will meet your requirements;
• the Site will be available without interruption, delay, or error;
• any model, forecast, scenario, analysis, or output described on the Site will be accurate, complete, reliable, or suitable for your particular use;
• or that any business, lending, fundraising, or strategic outcome will be achieved.

Any reliance you place on the Site or its Content is at your sole risk.

13. Limitation of Liability

To the maximum extent permitted by law, ControlFi and its affiliates, owners, officers, employees, contractors, licensors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or related to your use of or inability to use the Site, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Site or these Terms will not exceed the greater of:

1. US$100; or
2. the amount, if any, you paid to us specifically for access to the Site during the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

14. Indemnification

You agree to defend, indemnify, and hold harmless ControlFi and its affiliates, owners, officers, employees, contractors, licensors, and agents from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• your breach of these Terms;
• your misuse of the Site;
• your violation of applicable law or third-party rights;
• or any information or materials you submit through the Site.

15. Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Site will be governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

Any legal action arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction and venue of those courts.

16. Electronic Communications

By using the Site, submitting forms, booking calls, or otherwise communicating with us electronically, you consent to receive communications from us electronically. You agree that electronic notices, disclosures, agreements, and other communications satisfy any legal requirement that such communications be in writing.

17. Changes to These Terms

We may update these Terms from time to time. If we do, we will revise the “Last updated” date above. Your continued use of the Site after updated Terms become effective constitutes your acceptance of the revised Terms.

18. Miscellaneous

These Terms constitute the entire agreement between you and ControlFi regarding the Site and supersede all prior or contemporaneous understandings relating to the Site.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
